Ola Electric’s Rights Issue: ₹27 Price to Raise ₹1,000 Cr, Offers 26% Discount

Ola Electric Mobility Limited has finalized the terms of its proposed ₹1,000 crore rights issue, setting the offer price at ₹27 per share. The Bengaluru-based electric two-wheeler maker is offering existing shareholders a significant discount to strengthen its balance sheet and fund future expansion. The Ola Electric Rights Issue price represents a 26% discount to the company’s closing share price of ₹36.32 on October 7, 2026. The fundraising will primarily support debt repayment and organic growth, including investments in Ola Electric’s gigafactory and cell-manufacturing operations.

Ola Electric will raise up to ₹999.74 crore through a rights issue priced at ₹27 per share, offering existing shareholders a 26% discount to the October 7 market price.

₹1,000 Crore Rights Issue: Key Details

Ola Electric plans to issue up to 37.03 crore partly paid-up equity shares, aggregating to approximately ₹999.74 crore.

The rights entitlement has been fixed at 2 rights shares for every 25 fully paid-up shares held by eligible shareholders as of the October 13, 2026, record date.

Investors Pay 60% Upfront

A notable feature of the Ola Electric Rights Issue is its partly paid-up structure. Investors will not need to pay the entire ₹27 per share immediately.

At the time of application, shareholders will pay 60%, or ₹16.20 per share. The remaining ₹10.80 per share, representing 40% of the issue price, will be payable through a future call. The final payment is expected by October 31, 2027, subject to the company’s call process.

This structure reduces the immediate cash requirement for investors participating in the fundraising.

Where Will Ola Electric Use the Funds?

Ola Electric intends to deploy the fresh capital across debt reduction and business expansion.

Key allocation priorities include:

  • ₹350 crore: Repayment or prepayment of debt
  • ₹400 crore: Organic growth initiatives
  • Gigafactory: Expansion of the company’s cell-manufacturing operations

The fundraising comes as Ola Electric continues to build its vertically integrated electric mobility ecosystem, with battery-cell manufacturing remaining an important part of its long-term strategy.

Bhavish Aggarwal Pledges Stake

Promoter Bhavish Aggarwal has also committed to maintaining his participation in the fundraising. To fund his personal participation, he has pledged a 4.32% stake, equivalent to 20 crore shares, rather than selling those shares in the open market.

About 8% Equity Dilution

If the issue is fully subscribed, Ola Electric’s total share count will increase from 462.84 crore to 499.87 crore shares. This represents approximately 8% equity dilution.

For existing shareholders, subscribing to their entitlement can help maintain their proportional ownership, while those who do not participate may see their ownership percentage diluted after the new shares are allotted.

The Ola Electric Rights Issue therefore combines discounted pricing, staggered payments, and fresh capital for debt management and EV manufacturing expansion, making the fundraising a key development for investors tracking India’s electric two-wheeler sector.
